Terms of Service

Welcome to Eltie! These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "Customer") and Eltie / The Dispatch Agency ("Eltie," "we," "us," or "our"). By accessing or using our services, you agree to these Terms. If you do not agree, do not use Eltie.

1. Services Provided

Eltie is a SaaS platform that helps brands with email strategy, creative development (writing, design), and analytics to increase customer revenue. Our platform may integrate with third-party services such as Shopify, Google, and Klaviyo.

2. Accounts

  • Customers may create individual or business/team accounts.
  • Agencies may manage accounts on behalf of brands.
  • You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

3. Eligibility

Eltie is a B2B service. You must have the authority to bind your business or organization to these Terms.

4. Payment & Subscriptions

  • Subscriptions may include free trials followed by recurring billing.
  • Payments are processed through Stripe.
  • No refunds will be issued once payment is processed.
  • Subscriptions will renew automatically unless canceled before the next billing cycle.

5. Customer Data

You retain ownership of all data you upload ("Customer Data").

By using Eltie, you grant us a license to use Customer Data for the purpose of:

  • Providing and improving Eltie's services.
  • Training and enhancing our models, strategies, and analytics.
  • Facilitating integrations with Shopify, Klaviyo, Google, and other connected services.

Data is stored via Render and other service providers.

6. Prohibited Uses

You may not use Eltie for:

  • Sending spam or unauthorized marketing.
  • Illegal activity.
  • Reverse-engineering, copying, or creating competing services.
  • Uploading harmful, infringing, or misleading content.

7. Customer Responsibilities

You agree to:

  • Ensure you have all necessary rights to the Customer Data you upload.
  • Comply with all applicable laws (including CAN-SPAM, GDPR, and CCPA) when using Eltie.
  • Maintain accurate and up-to-date account and billing information.
  • Maintain appropriate backups of your Customer Data.

8. Beta Features

From time to time, Eltie may offer new or experimental features ("Beta Features"). Beta Features may not be fully tested, may change without notice, and may not function as expected. You use Beta Features at your own risk, and we provide them "as is" without warranties of any kind.

9. Service Availability & Downtime

We strive to keep Eltie available, but we do not guarantee uninterrupted or error-free service. Eltie may be unavailable due to maintenance, outages, or issues with third-party providers such as Render, Shopify, Google, or Klaviyo. We are not liable for any disruption, loss, or damages resulting from downtime.

10. Third-Party Services

Eltie integrates with third-party services (e.g., Shopify, Google, Klaviyo). We are not responsible for the acts, omissions, or performance of these third-party services. Your use of third-party services is governed by their own terms and policies, and issues with those services may impact your use of Eltie.

11. Service Changes & Discontinuation

We may modify, suspend, or discontinue any part of Eltie at any time without liability to you. If we make significant changes, we will notify you in advance when reasonable.

12. Termination

We may suspend or terminate your account at our discretion, including for violations of these Terms. You may close your account at any time by contacting us.

13. Intellectual Property & Ownership

  • Eltie owns all rights, title, and interest in the platform, including our software, templates, AI models, and branding.
  • You own your Customer Data.
  • For outputs generated using Eltie (such as AI-generated content or templates), you receive a license to use those outputs for your business, but Eltie retains rights to the underlying technology and models.

14. Disclaimers

Eltie is provided "as is" and "as available." We make no guarantees that the service will be error-free, uninterrupted, or suitable for your particular purpose.

15. Limitation of Liability

To the maximum extent permitted by law:

  • Eltie's total liability is limited to the amount you paid in the 12 months prior to the claim.
  • We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, lost data).

16. Indemnification

You agree to indemnify, defend, and hold harmless Eltie, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

  • Your use of Eltie.
  • Your violation of these Terms.
  • Your violation of any third-party rights (including intellectual property or privacy rights).
  • Any Customer Data you upload or provide to Eltie.

17. Force Majeure

Eltie will not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, power outages, internet disruptions, strikes, government actions, or other events outside our control.

18. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Ontario, Canada.
  • Disputes will be resolved in the courts of Toronto, Ontario, unless arbitration is required.
  • You waive the right to participate in any class action or representative proceeding.
